Terms of Service
§1. General Provisions
These Terms of Service define the rules for providing services by Primomill® S.C. based in Łódź (90-616) at 6 Sierpnia 16, bldg. 23, Tax ID: 7272839654, REGON: 384739680, hereinafter referred to as the "Service Provider".
The Terms are directed to entrepreneurs (B2B Clients) using the Platform as part of their business activities.
The Platform is used for placing orders for milling, laser sintering, and other services provided by the Service Provider.
§2. Definitions
Terms used in these Terms of Service mean:
- Platform - Platform - website operated by the Service Provider, available at primomill.com
- Client - Client - entrepreneur within the meaning of the Act of March 6, 2018, Entrepreneurs Law, using the Platform
- Order - Order - client's declaration of intent to conclude a Service Agreement
- Services - Services - milling, laser sintering, and other services provided by the Service Provider
§3. Service Conditions
Using the Platform requires:
- Having an active account on the Platform
- Accepting these Terms of Service
- Having entrepreneur status
- Providing accurate company information, including Tax ID
The Service Provider reserves the right to verify entrepreneur status before account activation.
§4. Placing and Processing Orders
Orders can be placed through the Platform 24 hours a day, 7 days a week.
Placing an order requires:
- Logging into the Platform
- Uploading required files in appropriate format
- Specifying order parameters
- Accepting the quote
After placing an order, the Client will receive confirmation of its acceptance electronically.
Order completion time is determined individually and depends on order specifications.
§5. Payments and Invoices
Settlements between parties are made in PLN.
Available payment methods:
- Bank transfer
VAT invoices are issued in accordance with applicable law.
The Client agrees to receive invoices electronically.
§6. Rights and Obligations of the Parties
The Service Provider commits to:
- Providing services with due diligence
- Maintaining information confidentiality
- Protecting personal data in accordance with GDPR
The Client commits to:
- Providing files that meet technical requirements
- Making timely payments
- Cooperating in the order fulfillment process
§7. Intellectual Property
All intellectual property rights to the Platform belong to the Service Provider.
The Client retains rights to submitted files and projects.
The Service Provider commits not to share Client's projects with third parties.
§8. Liability
The Service Provider is responsible for proper service execution according to order parameters.
The Service Provider's liability is limited to actual damage and does not include lost profits.
The Service Provider is not responsible for:
- Errors in files submitted by the Client
- Delays resulting from force majeure
- Consequences of using manufactured elements contrary to their intended use
§9. Complaints
The Client has the right to file a complaint in case of improper service execution.
Complaints should be submitted electronically to: biuro@primomill.com
The complaint will be processed within 14 business days.
§10. Agreement Termination
Either party may terminate the agreement with a 30-day notice period.
The Service Provider may suspend or delete the Client's account in case of:
- Violation of the Terms of Service
- Payment arrears
- Providing false information
§11. Force Majeure
Neither party is responsible for non-performance of obligations resulting from force majeure.
Force majeure means extraordinary, external, and unpredictable events.
§12. Final Provisions
In matters not regulated by these Terms of Service, Polish law shall apply.
Any disputes will be resolved by the court having jurisdiction over the Service Provider's registered office.
These Terms of Service enter into force on December 27, 2024.
